 ARTICLE I. — NAME. 
 
 The title of this organization shall ho "Tun Toronto Htmanf. 
 Society." 
 
 article II. — OnjECTS. 
 
 Its objects shall bo to promote and develop a humane public sentiment, 
 and to secure the enactment and enforcement of suitable laws for the preven- 
 tion of cruelty. 
 
 ARTICLE III. — SPIRIT. 
 
 There shall be nothinR in its mnnagemont or publications to intrrfcr'' 
 with its receiving the support of all good people. 
 
 ARTICLE IV. — MEMBERS. 
 
 The society shall consist of life members, honorary members, active 
 mcml)ers, and associate members. 
 
 ARTICLE V. — TERMS OF MEMBERSHIP. 
 
 Any person elected by the society may become a life meniltor by 
 paying IfSO.OO ; an honorary member by being elected as sucli by the 
 society ; an active meml)er by paying not less than Jl.OO per annum. ("Iiil- 
 dren are eligible for associate membership on payment of <(1.00 per annum. 
 
 ARTICLE VI. — PRIVILEGES OF MEMBERSHIP. 
 
 Life and active members shall be entitled to all the privileges of the 
 society. Honorary members shall be entitled to all its privileges during the 
 term of their membership. Associate members shall receive all the publica- 
 tions of the society, but shall not be entitled to vote. 
 
 ARTICLE VII. — OFFICERS. 
 
 The officers of this society shall be a patron, honorary president, presi- 
 dent, four vice-presidents, a treasurer, an honorary secretary, secretary, a 
 council composed of not less than fifteen gentlemen and ten ladies and the 
 staff inspector of the Toronto police force, to be elected at the annual meeting 
 by ballot. 
 
 ARTICLE VIII. — DIRECTORS. 
 
 The officers annually elected by the members of the society shall together 
 constitute a board of directors.

 Meetings of the board of directors shall be held at least once in each 
 month. 
 
 Special meetings may l)e called by the secretary at the request of three 
 members of the board or upon order of the president. 
 
 Quorum. — Five membeis of the board of directors shall constitute a 
 quorum. 
 
 ARTICLE IX. — OTHER OFFICERS. 
 
 All Other officers shall be elected or appointed by the board of directors, 
 and shall hold office during pleasure or until their successors have been 
 elected or appointed. 
 
 ARTICLE X. — POWERS OF HOARD OF DIRIiCTORS. 
 
 The directors may enact by-laws for the transaction of their business, and 
 for the regulation of paid officials; remit the annual or other dues of any 
 member of the society, and generally shall, during thei; 'erm of office, have 
 the full and complete management, control and disposal of the affairs, property 
 and funds of the society. 
 
 ARTICLE XI. — ANNUAL MEETING. 
 
 The annual meeting of this society shall be the first Saturday in May in 
 each year at such time and place as may be announced by reastmable public 
 notice, and other meetings of the society may be calle I at any time, by the 
 president upon the written request of four directors, by giving three days 
 previous notice thereof in a daily paptir published in the City of Toronto, or 
 by circular. 
 
 At all mt.itings of the society, except the annual meetipf;, nine members 
 shall constitute a quorum for the transaction of business. 
 
 ARTICLE XII. — AMENOMENTS. 
 
 No alteration of this constitution shall Ix; ir.ade e.vccpt upon proper 
 motion in writing m,-ide at a meeting of the society, a ul adopted at a sub.se- 
 quent meeting by a two-thirds vote of the members present.

 follows : — Calling of the roll ; reading of the minutes ; reports of committees ; 
 report of treasurer; communications and resolutions; unfinished buiness;

 There shall lie the following standing committees consisting of not less 
 than four members each, and the president and secretary shall act as consult- 
 ing members of each committee : — 
 
 Committee on membership and finance. 
 
 Committee on cruelty. 
 
 Committee on humane education and branch societies. 
 
 Committee on prosecution, laws and legislation.

 Committees shall keep full minutes of their proceedings, ar^i trar.imit 
 the same to the secretary for the information of the council. 
 
 Due noMce of the meeting of the board and of its committees shall be 
 given by the secretary of this society. 
 
 RULE IV. — DUTIES OF OFFICERS. 
 
 1. President. The president f'-,all !ie the executive officer of the society 
 and shall preside (or in his absence one of the vice-presidents) at all meeting 
 of the board and of the society. 
 
 2. Vice-Presidents. One of the vice-presidents shall, during the absence 
 of the president, act as president. 
 
 H Spfretary. The secretary of the society shall act under the direction 
 of the council, and shall perform such duties as it may require. He shall also 
 be responsible for the management of the society's office.

 4. Treasurer. The treasurer shall be the custodian of all moneys of the 
 society. He shall pay out the same only upon the written order of the secre- 
 tary, countersigned by the presiding offir.er. He shall furnish such guarantee 
 as may be required by the board, and deposit all moneys of the society in 
 its name in such bank as the board may designate. He sh.tll make a report 
 of the condition of the treasury at each stated meeting of the board. 
 
 5. Assistant-Secretary. An assistant-secretary may be appointed by the 
 board or council, who shall act as assistant to the secretary. 
 
 RULE V. — AGENTS. 
 
 Special agents of the society may be appointed and removed at will by 
 the president with the consent of the board, by which body the remuneration 
 to be paid shall be determined. 
 
 No special agent is authorized to incur any pecuniary liabilities on the 
 part of the society, nor are any illegal acts or omissions on his part to be 
 deemed as within the scope of his authority as such special ?igent.
