TO THE LADIES OF THE FAMILIES OF MEMBERS OF THE CLUB, AND THEIR INVITED LADY GUESTS, UNDER THE SAME RESTRICTIONS AS MEMBERS INTRODUCING VISITORS. BY-LAWS. NAME. ARTICLE I. This shall be called THE ILLINOIS CLUB OF THE CITY OF CHICAGO. OBJECT. ARTICLE II. Its purposes shall be the cultivation and promotion of literature and the fine arts, and of social intercourse. MEMBERS. ARTICLE III. The number of members, exclusive of non-resident, associate and honorary members, shall be limited to four hundred. ARTICLE IV. No person shall be eligible as a member unless he be a citizen of the United States, of full age, of respectable standing- in society, and of good moral character. 22 THE ILLINOIS CLUB. OFFICERS. ARTICLE V. A President, Vice-President, Secretary and Treasurer shall be chosen at each annual meeting-, and shall hold office for one year, and until their successors are elected. There shall also be chosen from its members nine Trustees. Those elected at the first election shall divide themselves into three classes of three each; one class to hold office one year, the second class for two years, and the third class for three years next thereafter. At each annual meet- ing- thereafter there shall be chosen three Trustees to fill the class whose term will then expire. The President, Vice-Presi- dent, Secretary and Treasurer, for the time being, shall be Trustees, making- the whole number of Trustees thirteen. ARTICLE VI. At the reg-ular monthly- meeting- of the Trustees in February, each year, there shall be appointed a committee of five members of the Club, who shall nominate a ticket for Officers and Trustees, to be voted for at the annual election. The BY-LAWS. 23 ticket reported by said committee shall be posted on the bulletin-board at least twenty days before the election. Any member or members may nominate other candidates for the same offices, but the names of all persons to be voted for at said election shall be posted . on the bulletin-board at least five days before the election. Provided, how- ever, that immediately after such posting-, the Secretary shall mail to each member of the Club a copy of such original ticket, and that immediately after the time of posting- opposition tickets shall have expired, he shall also mail to each member a copy of all other tickets posted. All elections shall be by ballot, under the direction of inspectors, to be appointed by the President, and a plurality of votes shall elect. The annual election shall occur upon the day of the annual meeting-. The Inspectors of Election shall open the polls in the Club House at 5 P. M., and shall keep them open until 9 P. M., provided, however, that should there be members in line at 9 P. M., 24 THE ILLINOIS CLUB. waiting- to vote, the Inspectors shall keep the polls open for such additional time as may be necessary for those then in line to vote, before declaring- the polls closed. Immediately upon closing- the polls, they shall proceed to canvass the vote, and shall report the result of same to the annual meet- ing- at the earliest opportunity. ARTICLE VII. The Club shall have the power of vacating- the places of any or all of the Trustees, by a vote of two-thirds of the members present at a special meeting- of the Club, called for the purpose of voting- there- on, and of filling- any vacancy so created, or occurring- from any other cause, at some subsequent meeting- called for that purpose. POWERS AND DUTIES OF OFFICERS. ARTICLE VIII. The President of the Club, and in his absence the Vice-President, shall authorize the call of all meeting's of the Trustees and of the Club, and shall ex- ercise the usual function of a presiding- officer. 25 ARTICLE IX. The Secretary of the Club shall notify each Trustee of all the meet- ing's of the Trustees, and each member of the Club of every meeting- of the Club; issue all other authorized notices to members; make and keep a true record of all meeting's of the Trustees and Club; have custody of its Articles of Org-anization, By-Laws and corporate seal, and conduct its correspond- ence. ARTICLE X. The Treasurer shall collect and, under the direction of the Trustees, disburse the funds of the Club, and shall keep regular accounts thereof, which shall be subject to the examination of the Presi- dent and Trustees. He shall submit a statement thereof to the Trustees at each monthly meeting-. ARTICLE XI. The Trustees shall have general charg-e of the affairs, funds and property of the Club. It shall be their duty to carry out the objects and purposes there- of, and, to this end, they may exercise all the powers of the Club, subject to the 26 THE ILLINOIS CLUB. Articles of Organization and By-Laws, and to such action as the Club may take at its special or stated meeting's. ARTICLE XII. The Trustees shall have the power to fill, until the next following- annual meeting-, any vacancy which may occur from death or resignation among- the Officers and Trustees of the Club. ARTICLE XIII. The Trustees shall cause to be prepared annually a detailed statement of the financial condition of the Club, show- ing- its receipts and expenditures for the current year, the number of members, and other matters of general interest to the Club, and a statement thereof shall be printed, and a copy sent to each member fifteen da} T s previous to the annual meeting-. ARTICLE XIV. The Trustees shall annually elect from their members a House Committee and such other committees as the} r shall deem expedient, to hold office during- the pleasure of the Trustees. , ARTICLE XV. The Trustees shall, from time to time, make rules and regulations on BY-LAWS. 27 matters not determined by the By-Laws. ARTICLE XVI. A quorum of the Trustees shall consist of seven of its members. MEMBERSHIP. ARTICLE XVII. Candidates for admis- sion must be proposed by one member and seconded by another, and the member pro- posing- a candidate shall state, in writing-, the name of the person proposed, his occu- pation, place of residence and his qualifica- tions for membership, and shall present same to the Secretary, accompanied by the sig-nature of the applicant. ARTICLE XVIII. All applications for membership received by the Secretary shall be referred by him to the Membership Com- mittee, and upon the approval of the majority of the members of said committee, the name of every candidate, with the names of his proposers, shall be posted in a conspicuous place in one of the rooms of the Club, at least ten days before he is balloted for. 28 THE II
